1. Netherlands Terms of Service Within the Netherlands we align our Terms of Service as follows:
Freight Forwarding, Warehousing, Value Added Logistics and Logistics Services Conditions with the Dutch Forwarding Conditions provided by FENEX.
International Road Freight under the Convention on the Contract for the International Carriage of Goods by Road (CMR) - United Nations Convention - Convention on the Contract for the International Carriage of Goods by Road (CMR) (un.org).
2. Conflict of Interest
Declaration of Interests: The Vendor and Crane Worldwide Logistics LLC (Collectively, the "Company") hereby declare that they do not have any financial, direct or indirect interest in the other party, nor any personal relationship which may appear to influence their judgement or compromise the impartiality and objectivity of their professional duties.
Disclosure of Potential Conflicts: If at any time, the Vendor or Company becomes aware of any potential or actual conflict of interest, they agree to immediately disclose the nature and extent of such interest to the Company in writing.
Avoidance of Conflicts: The Vendor and the Company agree to take necessary steps to avoid any actions or conditions that could result in a conflict with the Company's interest or could compromise their ability to carry out their duties and responsibilities objectively and fairly.
Sanctions for Non-Compliance: If the Vendor or the Company fails to adhere to these provisions, the Company may take any necessary actions, which may include termination of contracts, legal action, or other remedies available under the law. By signing the vendor application, both parties affirm that they understand and agree to the above terms.
3. Supply Chain Security Vendor's that undertake services that involve the collection, delivery, handling or storage of supply chain goods on behalf of CWW further declare that goods are produced, stored, prepared and loaded in secure business premises and secure loading and shipping areas; are protected against unauthorized interference during production, storage, preparation, loading and transport; reliable staff is employed for the production, storage, preparation, loading and transport of these goods; and business partners who are acting on my behalf are screened and background checked in order to verify their reliability and good standing.
4. Non-disclosure/Confidentiality
Vendor shall not disclose to any third party any information concerning the customers, trade secrets, methods, processes or procedures, or any other confidential, financial or business information of Company (the "Confidential Information") that it learns during the course of the provision of Services, nor shall Vendor use such information for any purpose other than in furtherance of this Agreement, without the prior written consent of Company.
5. Invoicing & Payment
Vendor will invoice for all Services provided hereunder within thirty (30) days of providing such Services, and Vendor waives the right to receive payment for Services that are not invoiced within one hundred twenty (120) days. Company shall pay Vendor within forty-five (45) days of receipt of a valid invoice with appropriate documentation.
6. Data Protection
Vendor will treat Company Personal Data at all times in accordance with Data Protection Laws and shall solely hold and process such Company Personal Data in order to provide the Services to Company. Vendor shall maintain appropriate technical and organisational measures to ensure security of the Company Personal Data and notify Company without undue delay if Vendor becomes aware of a personal data breach.
7. Solicitation of Company Employees: Vendor agrees that it shall not at any time during the term of this Agreement and for a period of one year thereafter, directly or indirectly solicit, contact, hire or entice any employee of Company that has been involved in the provision of the Services.
8. Vendor Code of Conduct
Vendor represents and warrants that it is in permanent compliance with the Crane Worldwide Vendor Code of Conduct.
